ORGANIZATION AND MANAGEMENT

 


Organizational Structure

The company will have a very simple organizational structure because its business model was created with simplicity in mind. Many of the company's functions will be outsourced. The company will focus on the assembly, storage, and marketing of its finished products.

Managerial and clerical functions will be performed by Norman Simmons. One employee will be hired on an hourly basis to assemble the products and to ship orders to customers. Another will fill the post of customer care and order-taker. More employees can be added to perform similar functions as needed.

Accounting functions will be outsourced to Lynn Finkelstein & Company Inc. The Internet and infomercial marketing functions supervision will be handled by Martin Price of the Price Group Marketing / Advertising.  The key components for the company's products will be produced by a local company, Master Tool, to protect the IP, while other more generic components will be sourced from multiple suppliers.

 

Ownership information

The company will incorporate as a standard C-Corp to take advantage of the benefits provided by this form of ownership. The C-Corporation status will provide shareholders with limited liability protection, and it will also allow potential investors to receive preferred shares in the company.

The company’s initial shares are exclusively owned by Norman Simmons and Martin Price. The ownership structure may change depending upon potential future investments.

 

Management Profiles

Norman Simmons has a track record that spans decades of successful business ventures. Much of this experience has been in managerial positions, including general management, operations management and sales, and his entrepreneurial spirit is evident in all of the ventures that he has successfully undertaken.

With American International Travel, he was Vice-President of Operations of the company that originated Carnival Cruise Line, and the Riviera and Sands Hotels in Las Vegas. While at GWV Travel, he was partners with the Interface Group, which later founded the Comdex Show, the largest electronics show in the world.

Norman was also President of American Magazine, which published American Hairdresser and Salon Owner magazine, and ran the IBS, International Beauty Show, one of the largest shows displaying beauty products and services. With Valet Systems, Norman successfully obtained a national contract with the Miller Brewing Company to install vending machines in bars in which patrons could play games and the machine would display ads for Miller Lite.

Martin Price is a business, marketing and sales consultant.  He developed and created several web-based marketing companies including WeBuyHouses.com, RightLawyer.com, as well as FaxRecoverySystems.com and Cash4Faxes.com. All of which are highly successful.  In addition to many other business ventures and start-ups, Mr. Price conceived and founded Resort Condominiums International (RCI), the world’s most successful time share resort vacation exchange program.
